1.1 These Terms of Sale ("Terms") apply to all purchases of documentation products and services from SiteDocsUK, operated by Mark Rigby trading as SiteDocsUK, a sole trader based in England and Wales, of 6 Harvey Close, Raunds, Wellingborough, Northamptonshire, NN9 6RE ("we", "us", "SiteDocsUK").
1.2 By placing an order, you ("the Customer") agree to be bound by these Terms. These Terms apply to businesses purchasing for use in their trade, business, or profession. SiteDocsUK products are not intended for private consumer use.
2.1 SiteDocsUK supplies editable Word document templates covering Risk Assessments and Method Statements (RAMS), Contractor Project Packs, COSHH assessments, toolbox talks, and related construction compliance documentation ("the Products"). SiteDocsUK also supplies optional done-for-you services (such as RAMS completion and submission, and Construction Phase Plans written to order) and an ongoing monthly membership, the Site-Ready Portfolio ("the Membership"), the terms of which are set out at the point of order or subscription.
2.2 All Products are templates prepared for general guidance. They are not a substitute for a competent person's review of the specific site, task, and project conditions before use. It remains the Customer's sole responsibility to review, complete, and adapt every Product for the specific project before relying on it, and to ensure it is accurate and appropriate before submission to any Principal Contractor, client, or regulatory body.
3.1 On payment in full, we grant the Customer a non-exclusive, non-transferable licence to use, edit, and rebrand the purchased Product for the Customer's own business purposes, including submitting it to Principal Contractors and clients as part of the Customer's own work.
3.2 The Customer may use a purchased Product across multiple projects and sites operated by the Customer's own business, unless the Product was explicitly sold as a single-use item.
3.3 This licence does not transfer ownership or copyright in the Product to the Customer. SiteDocsUK retains all intellectual property rights in the Products, including the underlying template structure, wording, and design (see Section 5).
4.1 The Customer must not resell, sublicense, redistribute, or share any Product (in whole or in part) with any other company, contractor, or third party, whether for payment or free of charge.
4.2 The Customer must not represent a Product as having been independently authored by the Customer for the purpose of onward sale as a template or documentation product.
4.3 The Customer must not remove or misrepresent any certification, standard, or regulatory reference contained in a Product in a way that misrepresents compliance.
5.1 SiteDocsUK owns all intellectual property rights in the Products, including copyright in the template text, structure, formatting, and any accompanying branding, save for the Customer's own branding added by the Customer after purchase.
5.2 Nothing in these Terms transfers any intellectual property rights to the Customer beyond the licence described in Section 3.
6.1 Prices are as stated at the time of order and are exclusive of VAT unless stated otherwise.
6.2 Payment is due in full before the Product is supplied, unless otherwise agreed in writing (for example, under the Site-Ready Portfolio membership, where payment is monthly in advance).
6.3 We reserve the right to change prices at any time, but changes will not affect orders already placed and paid for.
7.1 Products are supplied electronically (by email or download link) and are treated as delivered once sent to the Customer's nominated email address or made available for download.
7.2 Typical turnaround times are indicative only and not a contractual commitment unless expressly agreed in writing.
8.1 Because Products are digital content supplied immediately on payment, the Customer acknowledges that the statutory right to cancel digital content orders does not apply once the Product has been delivered, in line with the Consumer Contracts Regulations 2013 (to the extent they apply) and equivalent principles for business customers.
8.2 If a Product is found to be materially defective (for example, missing a section that should be present, or containing an error that makes it unfit for its stated purpose), SiteDocsUK will correct the defect or provide a replacement at no additional cost. Refunds beyond this are at SiteDocsUK's discretion.
8.3 The Site-Ready Portfolio membership is rolling monthly and may be cancelled at any time. Cancellation stops future payments and is not applied retrospectively to payments already made.
9.1 SiteDocsUK Products are templates and general guidance only. SiteDocsUK does not guarantee that any Product will be accepted by any Principal Contractor, client, or regulatory body, as acceptance criteria vary between organisations and projects.
9.2 To the fullest extent permitted by law, SiteDocsUK's total liability arising from the supply of any Product or Service is limited to the amount paid by the Customer for that Product or Service.
9.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded or limited.
9.4 SiteDocsUK is not liable for any loss arising from the Customer's failure to review, adapt, or verify a Product before use on a specific project.
10.1 SiteDocsUK may refuse or cancel an order at its discretion, in which case any payment made will be refunded in full.
10.2 SiteDocsUK may terminate the Customer's licence to use a Product immediately if the Customer breaches Section 4 (Restrictions).
11.1 These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
11.2 If any part of these Terms is found unenforceable, the remainder continues in full force.
11.3 These Terms, together with any order confirmation, constitute the entire agreement between the parties for that order.
